Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and NeiroTechs ("Company," "we," "us," or "our"), a company registered in Morocco, governing your access to and use of the Cedar platform and related services.

By accessing or using Cedar, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the service.

2. Description of Service

Cedar is a digital wallet pass platform that enables businesses to create, distribute, and manage digital passes for Apple Wallet and Google Wallet. Our services include:

• Digital pass creation and customization
• Pass distribution via email, QR codes, and API
• Pass scanning and validation
• Analytics and reporting
• Push notifications and pass updates
• API access for integration with third-party systems

3. Account Registration

To use Cedar, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

You must be at least 18 years old to create an account. By registering, you represent that you have the legal authority to enter into this agreement.

4. Acceptable Use

You agree not to use Cedar to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Distribute malware, spam, or harmful content
• Impersonate any person or entity
• Collect personal data without proper consent
• Create passes for fraudulent or deceptive purposes
• Interfere with or disrupt the platform's operation
• Attempt to gain unauthorized access to our systems
• Use automated means to access the service without permission
• Resell or redistribute the service without authorization

5. Your Content and Data

5.1 Ownership

You retain ownership of all content and data you upload to Cedar, including pass designs, customer data, and branding materials ("Your Content").

5.2 License Grant

By uploading content to Cedar, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process Your Content solely for the purpose of providing the service.

5.3 Responsibility

You are solely responsible for Your Content and ensuring you have all necessary rights and consents to use and share such content, including customer personal data in compliance with applicable data protection laws.

6. Pricing and Payment

6.1 Pricing

Cedar uses volume-based pricing. Current rates are:

• Up to 500 passes: 2 MAD per pass
• 501 to 1,500 passes: 1.5 MAD per pass
• Over 1,500 passes: 1 MAD per pass

Pricing is subject to change with 30 days' notice.

6.2 Payment Terms

Payment is due according to your subscription terms. Failure to pay may result in service suspension or termination. All fees are non-refundable unless otherwise specified.

6.3 Taxes

You are responsible for all applicable taxes. Prices do not include taxes unless stated otherwise.

7. Intellectual Property

The Cedar platform, including its original content, features, and functionality, is owned by NeiroTechs and protected by international copyright, trademark, and other intellectual property laws.

"Cedar" and the Cedar logo are trademarks of NeiroTechs. You may not use our trademarks without prior written consent.

8. Third-Party Services

Cedar integrates with third-party services including Apple Wallet and Google Wallet. Your use of these services is subject to their respective terms and conditions. We are not responsible for the availability, functionality, or policies of third-party services.

9. Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted access. The service may be temporarily unavailable due to:

• Scheduled maintenance (with advance notice when possible)
• Emergency repairs or security updates
• Factors beyond our control (internet outages, force majeure)

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT
• UNINTERRUPTED OR ERROR-FREE OPERATION

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEIROTECHS SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from your use or inability to use the service
• Actions of third parties, including pass recipients

Our total liability shall not exceed the amounts paid by you to Cedar in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless NeiroTechs and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the service, your content, or your violation of these Terms.

13. Termination

13.1 By You

You may terminate your account at any time by contacting us. Upon termination, your right to use the service will immediately cease.

13.2 By Us

We may suspend or terminate your account immediately, without prior notice, if you:

• Violate these Terms
• Fail to pay fees when due
• Engage in fraudulent or illegal activity
• Create risk or legal exposure for us

13.3 Effect of Termination

Upon termination, your data may be deleted after a reasonable retention period. We recommend exporting your data before termination. Sections of these Terms that by their nature should survive will remain in effect.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of Cedar after changes constitutes acceptance of the modified Terms.

15. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of Morocco, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of Cedar shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the competent courts of Morocco.

16. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and NeiroTechs regarding Cedar.
• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any right or provision does not constitute a waiver.
• Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
